Welcome to Blactrium. These Terms and Conditions (“Terms”) govern your use of the Blactrium mobile application, website, and related services (collectively, the “Platform” or “Service”).
1. Acceptance of Terms
By accessing, downloading, or using Blactrium, you agree to be bound by these Terms and all applicable laws. If you do not agree, please do not use the Platform.
2. About Blactrium
Blactrium is a community-driven digital platform that enables:
• Black professionals to create profiles
• Businesses to showcase services
• Users to leave reviews
• Certain business users to operate a digital storefront and sell products or services through the Platform
Blactrium operates as a technology platform and marketplace facilitator only. Blactrium:
• Is not the seller of goods or services listed by businesses
• Does not act as agent (unless explicitly stated)
• Does not guarantee the quality, legality, safety, or delivery of products or services
• Is not responsible for disputes, losses, or claims arising from transactions between buyers and sellers
Blactrium is not liable for the quality, safety, legality, or suitability of any products or services listed by Merchant subscribers. Any issues with goods or services purchased through a Merchant storefront must be raised directly with the Merchant. Blactrium is not a party to any contract formed between a buyer and a Merchant.
Contracts for the sale of goods or services are formed directly between the buyer and the business owner (Seller).
3. Eligibility
You must:
• Be at least 18 years old to create a business storefront
• Be at least 16 years old to use the Platform generally
• Have legal capacity to enter into binding agreements
• Provide accurate, current information
Users aged 16–17 may browse the Platform and submit reviews but may not create a business storefront, enter into commercial transactions, or purchase goods or services from any Seller storefront. By making a purchase or creating a storefront, you confirm that you are at least 18 years old.
Users under 16 may not use the Platform. By using the Platform, you confirm that you meet the applicable age requirement. Blactrium reserves the right to suspend or remove any account where this requirement is not met.
We may require identity verification for business accounts.
4. User Accounts
You are responsible for:
• Maintaining account confidentiality
• All activity under your login
• Promptly notifying us of unauthorised use
We reserve the right to suspend or terminate accounts for:
• Breach of these Terms
• Fraudulent, misleading, illegal or harmful conduct
• Repeated complaints or verified misconduct
5. Business Storefronts and Seller Responsibilities
You are solely responsible for:
• The accuracy of product listings
• Pricing and VAT compliance
• Product descriptions and images
• Legal compliance (including UK consumer protection laws)
• Fulfilment, delivery, and shipping
• Refunds and returns
• Customer service
• Handling disputes directly with customers
You confirm that:
• You have the legal right to sell listed products or services
• Your goods comply with UK safety and regulatory standards
• You will comply with the Consumer Rights Act 2015 and distance selling regulations
You are solely responsible for ensuring that everything you sell through your Blactrium storefront is legal, accurately described, safe, and fit for purpose. Blactrium does not pre-screen, inspect, or verify products or services listed on the Platform and is not responsible for defective goods, service failures, misdescription, or any harm caused to buyers as a result of your listings.
If a buyer raises a complaint or dispute in connection with your storefront, you are responsible for resolving it directly with that buyer. Blactrium may suspend or remove your account if you repeatedly fail to resolve disputes or comply with applicable consumer protection law.
6. Payments and Fees
6.1 Platform Fees (Paid to Blactrium)
All subscription fees, listing fees, promotional fees, and transaction fees paid to Blactrium are non-refundable, except where required by law.
In exceptional circumstances, Blactrium may issue a discretionary goodwill refund at its sole discretion. Such decisions are made on a case-by-case basis, do not create precedent, and do not establish entitlement to future refunds. Statutory consumer rights remain unaffected.
6.2 Free Trials
Where Blactrium offers a free trial period, the following applies:
• The free trial period will be clearly stated at the point of sign-up
• No payment will be taken during the free trial period
• At the end of the free trial, your subscription will automatically convert to a paid plan at the applicable rate, unless you cancel before the trial expires
• You may cancel at any time during the free trial via your account settings, the Apple App Store, or the Google Play Store as applicable, without charge
• Blactrium reserves the right to modify or withdraw free trial offers at any time for new users, without affecting trials already in progress
6.3 Subscription Auto-Renewal
Subscriptions are billed on a recurring basis (monthly, quarterly, bi-annually, or annually, as selected at sign-up).
Your subscription will automatically renew at the end of each billing period unless cancelled before the renewal date. You can manage or cancel your subscription at any time via your account settings or through the Apple App Store or Google Play Store where applicable.
Cancellation takes effect at the end of the current billing period; no partial refunds will be issued for unused time except where required by law.
6.4 Fee Changes
Blactrium reserves the right to modify subscription and platform fees. We will provide at least 30 days’ advance notice of any fee increase to existing subscribers, via email or in-app notification, before the change takes effect. Continued use of the Platform after the notice period constitutes acceptance of the new fees.
6.5 Buyer–Seller Refunds (Marketplace Transactions)
Blactrium is not the seller of goods or services listed on the Platform. Refunds for products or services purchased through a Seller’s storefront must be handled directly between the Buyer and the Seller.
Sellers are responsible for:
• Setting their own refund policy
• Complying with the Consumer Rights Act 2015
• Processing refunds where legally required
Blactrium is not responsible for issuing refunds on behalf of Sellers. However, Blactrium reserves the right to suspend Sellers who fail to comply with applicable consumer protection laws.
6.6 Consumer Cooling-Off Rights
Under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, you have the right to cancel a subscription within 14 days of purchase (the “cooling-off period”) without giving a reason.
However, by accessing or using any paid feature of the Platform immediately after purchase, you expressly request that performance of the service begins during the cooling-off period. By doing so, you acknowledge that your right to cancel will be lost once the service has been fully performed, and that if you cancel during the cooling-off period before full performance, you may be charged a proportionate amount for the service already provided.

7. Buyer Responsibilities
Buyers agree that:
• They are entering into a direct contract with the Seller
• Blactrium is not responsible for product quality, delivery failures, or disputes
• Refund requests must be directed to the Seller
Blactrium may assist in dispute facilitation but is not obligated to mediate or enforce outcomes.
8. Reviews and Ratings
Reviews must:
• Reflect genuine experiences
• Not be defamatory, discriminatory, or abusive
• Not contain false claims
Blactrium reserves full moderation rights and may remove content at its discretion. We do not guarantee the fairness or accuracy of reviews.
9. Acceptable Use
You must not:
• Use the Platform for unlawful purposes
• Sell prohibited or illegal goods
• Post misleading or deceptive listings
• Harass or discriminate against other users
• Attempt to exploit technical vulnerabilities
• Copy, scrape, or reverse-engineer the Platform
We reserve the right to remove content or suspend accounts without notice.
10. Prohibited Products and Services
Sellers may not list:
• Illegal goods
• Weapons
• Counterfeit products
• Regulated pharmaceuticals
• Adult content
• Financial schemes or investment products without proper FCA authorisation
We may remove listings at our discretion.
11. Intellectual Property
Your Content
You retain ownership of content you upload. You grant Blactrium a worldwide, non-exclusive, royalty-free licence to display and promote it within the Platform and marketing materials.
Blactrium IP
All platform branding, software, design, trademarks, and content created by Blactrium are owned by or licensed to Blactrium Ltd and may not be copied, reproduced, or reused without prior written consent. Unauthorised use may result in account suspension and legal action.
12. Limitation of Liability
To the fullest extent permitted by law, Blactrium is not liable for:
• Loss arising from buyer–seller disputes
• Defective goods or service failures caused by a Merchant or Seller
• Loss of profits or business interruption
• Data loss
• Platform downtime
• Indirect or consequential damages
Blactrium is not liable for any loss, damage, injury, or harm caused by or arising from products or services sold by Merchant subscribers through their storefronts. Buyers’ sole recourse in respect of such issues is against the relevant Merchant directly.
Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by applicable law.
Subject to the above, Blactrium’s total aggregate liability to you in connection with these Terms shall not exceed the total amount paid by you to Blactrium in the 12 months preceding the event giving rise to the claim.
13. Indemnity
You agree to indemnify and hold Blactrium Ltd harmless from all claims, losses, liabilities, damages, and legal costs arising from:
• Your products or services
• Your breach of these Terms
• Regulatory violations
• Customer claims related to your storefront
• Any claim by a third party arising from your use of the Platform
14. Suspension and Termination
We may suspend or terminate accounts if:
• You breach these Terms
• We receive verified complaints
• Fraud is suspected
• Required by law
• The Platform is discontinued
• Outstanding fees remain payable
15. Privacy and Data Protection
Your use of the Platform is subject to our Privacy Policy, available at blactrium.com and within the App. The Privacy Policy forms part of these Terms.
Sellers are independent data controllers in respect of customer data they receive and must comply with UK GDPR. Blactrium is not responsible for a Seller’s independent data practices.
16. Complaints and Dispute Resolution
16.1 If you have a complaint, please contact us in the first instance via the Contact Us section on our website (blactrium.com) or through the Blactrium app. We aim to acknowledge complaints within 5 business days and resolve them within 28 days.
16.2 Where a dispute cannot be resolved informally, both parties agree to attempt mediation before commencing legal proceedings.
16.3 Nothing in this clause prevents either party from seeking urgent injunctive or other interim relief from a court of competent jurisdiction.
17. Changes to the Service or Terms
We may modify the Platform, its features, and these Terms at any time. Where changes are material, we will provide reasonable notice via in-app notification or email. Continued use of the Platform following any changes constitutes acceptance of the updated Terms.
18. Governing Law
These Terms are governed by the laws of England and Wales. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
